Terms & Conditions

These terms govern engagements with NVSX Electronics LLP (operating as NVSX Labs), GSTIN 27AAPFN9957Q1ZV. By signing a statement of work, scope document, or otherwise engaging us in paid service, you agree to the following.

1. Scope

Every engagement begins with a written scope — either a productized SKU description or a custom statement of work. Out-of-scope changes require a written change request and may carry additional fees.

2. Payments

Productized monthly SKUs are billed monthly in advance via Razorpay / UPI / bank transfer, with GST charged at the applicable rate. One-time setup fees are billed at engagement start. Custom builds typically follow a 40 / 40 / 20 split (kickoff / mid-milestone / delivery). Invoices are due in 7 days. Late payments accrue 1.5% / month.

3. Guarantees

Each productized SKU ships with a written, measurable guarantee specific to that SKU (refund-or-keep-working clauses). Custom builds carry scope-specific guarantees outlined in the SoW. Guarantees are honoured per their written terms and not retroactively reinterpreted.

4. Intellectual property

Upon final payment, you own the custom code, designs, and configurations we deliver for your engagement. We retain rights to underlying frameworks, libraries, and tooling we use across clients (including open-source components governed by their respective licenses).

5. Confidentiality

We treat all client information as confidential. We'll sign an NDA before sharing any business-specific details with our team. We may mention your business as a client (logo, name) unless explicitly asked not to.

6. Warranties & limitations

We warrant that delivered software will substantially conform to the written scope for 30 days post-delivery (stabilization window). Beyond this, ongoing maintenance is covered under monthly retainer SKUs.

To the extent permitted by Indian law, our liability for any engagement is capped at the fees paid for that engagement in the 12 months preceding the claim. We are not liable for consequential or indirect damages.

7. Termination

Monthly SKUs can be cancelled with 30 days' written notice. One-time setup fees are non-refundable except under specific guarantee clauses. Custom builds are governed by the termination terms of the SoW.

8. Governing law

These terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of courts in Pune, Maharashtra.
